The Corporate, Securities and Acquisitions Group within Oracle's legal department is responsible for all legal affairs relating to Oracle's global corporate structure, support of the Board of Directors, corporate governance, periodic SEC reporting, securities matters, and Oracle's mergers and acquisitions program, among other duties.
As a Legal Counsel in the Corporate, Securities and Acquisitions Group, you will join a collaborative team in a fast-paced environment. Our team is primarily based at Corporate Headquarters in Austin, Texas. We have regional attorneys located across various Oracle offices in Europe, Middle East and Africa (EMEA), Latin America (LAD) and Asia Pacific (APAC). As a Legal Counsel for APAC, you will join a collaborative and highly regarded team. This position is best suited for someone with a keen eye for detail and organization, who can manage a variety of tasks, evaluate alternatives quickly and provide meaningful and prudent assistance and support to internal executive-level clients. Candidates who are "problem-solvers," and not just "issue-spotters," are preferred.
This is a “sleeves rolled up” team. The successful candidate will have experience in managing and maintaining Board of Director’s and corporate secretarial compliance for Oracle companies in the Philippines with experience in other ASEAN countries being an advantage, drafting agreements and corporate approvals and will manage the execution of such documents in a collaborative manner with members of Oracle’s global legal team, as well as with input from members of other business units, such as Finance, Tax, Human Resources and Business Operations.
Instinctively good judgment, impeccable integrity and professionalism, maturity to interact with senior executives and Board members, and collegial personality are essential prerequisites.
Specific Responsibilities
Corporate Governance: Manages, performs, and is ultimately responsible for company secretarial compliance of Oracle’s companies, branches, and offices in the Philippines and other ASEAN countries. Assist with the formation of new companies and branches, and dissolution or merger activities. Drafts and manages documentation and filings and is responsible for maintaining corporate records. Manages corporate delegations and works with many different groups within Oracle to ensure that all corporate delegations and authorizations are up to date and appropriate across APAC. Liaises with external service providers. Will act as Corporate Secretary and may become a member of the Board of Directors for Oracle companies in Philippines.
M&A Integration: Assists other members of the Corporate, Securities, and Acquisitions Group in giving effect to acquired entity integrations and corporate group restructurings in the Philippines and other ASEAN countries. Responsibilities will include drafting documentation and consulting with stakeholders.
Process and Policies: Works with other members of the Corporate, Securities, and Acquisitions Group, and members of other groups within Oracle, to develop and implement, and ensure compliance with, corporate policies across JAPAC.
Essential Requirements
- Minimum of 5 years of relevant experience at a top law firm or in-house corporate legal department.
- Business fluency in English in speaking and writing.
- Experience with corporate governance, in particular board meetings, establishment and dissolution of companies, business and trade license requirements, drafting and execution (including cross-border legalization formalities) of corporate approval documentation and ensuring ongoing compliance for companies, in Philippines. Similar experience in other countries in the ASEAN region would be a great advantage.
- Experience working with the company regulatory authorities in the Philippines.
- Ability to instruct and work with external service providers to meet deadlines.
- Keen attention to detail.
- Strong academic credentials and a proven track record working within a high performing corporate team (either practice or in-house).
- Strong corporate background, including solid drafting/review skills.
- Robust personality with high levels of energy, drive and self-motivation.
- Adaptable and commercially-minded team player with a collegial personality and instinctively good judgment.
- Must be willing to work on a Hybrid Set-Up (M-F Day Shift, reporting 2x a week at our Makati Office)
- Experience communicating with senior management across business functions.
- Experience with working across multiple time zones and across multiple cultures is preferred.
